Terms of Use

By accessing or using GapperLab ("the Platform"), you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you may not use the Platform. These terms apply to all visitors, users, and registered accounts.

GapperLab reserves the right to modify these terms at any time. Continued use of the Platform after any changes constitutes acceptance of the new terms. We will make reasonable efforts to notify users of material changes via email or an in-app notice.

GapperLab is a web-based platform that allows users to design, backtest, and analyze rule-based trading strategies using historical market data. The Platform provides tools including a strategy wizard, backtesting engine, performance analytics, and portfolio-level analysis.

The Platform is intended solely for research, education, and informational purposes. GapperLab does not execute trades, manage capital, or provide brokerage services of any kind.

Nothing on GapperLab constitutes financial, investment, trading, or any other type of professional advice. All strategy configurations, backtest results, performance metrics, and any content generated by the Platform are provided for informational and research purposes only.

Past performance of a backtested strategy does not guarantee future results. Trading involves substantial risk of loss. You should consult a qualified financial advisor before making any investment decisions. GapperLab assumes no responsibility for any trading losses or decisions made based on data or analysis from the Platform.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering. You may not impersonate another person or create accounts under false pretenses.

Accounts are personal and individual. Each account is licensed to a single person. You may not share, sell, lend, or transfer your account or credentials, and you may not allow any other person to access the Platform through your account. Account sharing is a material breach of these terms and is grounds for suspension or termination of your account (see Section 10).

You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement.

GapperLab offers a free tier and paid plans (Analyst, Quant). Paid plans are billed on a monthly or annual basis. By subscribing to a paid plan, you authorize GapperLab to charge your payment method on a recurring basis until you cancel.

• You may cancel your subscription at any time from account settings.
• Cancellations take effect at the end of the current billing period. Outside the statutory withdrawal right described below, no partial refunds are issued for unused time.
• GapperLab reserves the right to change pricing with 30 days' notice to active subscribers.
• Failed payments may result in downgrade to the free tier.

Right of withdrawal (consumers): by subscribing to a paid plan you expressly request that your access begins immediately, and you acknowledge that once the service has started your statutory 14-day right of withdrawal is limited to a refund of the portion of the period not yet used. This right does not apply to business customers. Full detail is set out in our Refund Policy.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Platform, its systems, or other users' accounts.
• Scrape, crawl, or systematically extract data from the Platform without explicit written permission.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Use automated means (bots, scripts) to interact with the Platform in a way that places undue load on our infrastructure.
• Resell, sublicense, or commercially exploit any data or content obtained through the Platform.
• Upload or transmit malicious code, viruses, or any disruptive content.

All content, design, software, logos, and trademarks on the Platform are owned by or licensed to GapperLab. Nothing in these terms grants you any rights to use GapperLab's intellectual property without prior written consent.

Strategy configurations and backtest results you create belong to you. By using the Platform, you grant GapperLab a non-exclusive license to store, process, and display your content solely to provide the service.

The historical market data available on GapperLab is sourced from third-party providers and is provided "as is." GapperLab makes no warranties regarding the accuracy, completeness, or timeliness of market data. Backtest results are simulations based on historical data and do not account for all real-world factors such as liquidity, market impact, or order execution quality.

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

To the maximum extent permitted by law, GapperLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, loss of data, or trading losses, even if GapperLab has been advised of the possibility of such damages.

GapperLab's total liability for any claim arising from these terms or your use of the Platform shall not exceed the amount you paid for the Platform in the 12 months preceding the claim.

GapperLab may suspend or terminate your account at any time for violations of these terms, including sharing your account or credentials with any other person, illegal activity, or behavior that harms other users or the Platform. You may delete your account at any time from account settings. Upon termination, your data will be retained for 30 days before permanent deletion, unless a shorter period is required by law.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in the applicable jurisdiction.
